Terms of Service

These Terms govern your use of Agentkit (the "Service"), operated by AgentKit Inc. ("we," "us," "our"). By using the Service you agree to these Terms. If you don't agree, don't use the Service.

1. Account

You need an account to use most features. You're responsible for keeping your credentials secure and for everything that happens under your account. Tell us at security@agentkit.dev if you suspect unauthorized access.

You must be at least 18 years old and legally able to enter a contract. If you're using Agentkit on behalf of an organization, you confirm you have authority to bind that organization to these Terms.

2. The Service

Agentkit is an infrastructure platform for building, deploying, and observing AI agents. We may update or remove features at any time. Significant changes that affect paid plans will be announced in advance.

3. Acceptable Use

You agree not to:

• Use Agentkit for anything illegal or that infringes someone else's rights

• Send unsolicited communications or run agents that spam, scrape, or abuse third-party services

• Attempt to reverse-engineer, extract source code, or bypass rate limits and security controls

• Use Agentkit to build models that compete directly with AgentKit Inc.

• Generate or host content that exploits minors, harasses, defames, or incites violence

• Violate the terms of underlying model providers (OpenAI, Anthropic, Google, and others)

We may suspend or terminate accounts that violate this section.

4. AI Output

Agentkit orchestrates calls to third-party large language models, including GPT-5, Claude, Gemini, and open-weight models you select. Output from those models can be inaccurate, offensive, or harmful. You're responsible for reviewing output before acting on it or showing it to users.

You own the prompts and outputs generated through your account, subject to the rights of underlying model providers and these Terms. Don't input data you don't have the right to use.

5. Plans, Billing, and Usage

Current plans:

• Hobby. Free. 1,000 agent runs per month. No credit card required. Selected models and built-in tools.

• Pro. $20/month with 25,000 runs included. Per-run overage charged at $0.002. All models and tools, email and Slack support.

• Enterprise. Custom pricing with SLA, on-prem deployment, SSO/SAML, audit logs, and a named support engineer.

Paid plans are billed monthly or annually in advance. Usage-based charges, including per-run overages and premium model tokens, are billed at the end of each billing cycle.

We'll notify you at 80% and 100% of your plan limits. You can set hard caps in your dashboard to prevent overage. We don't charge for runs that fail due to an Agentkit error.

All fees are non-refundable except as required by law or stated explicitly in these Terms. Prices may change. We'll give 30 days' notice by email for paid plan changes.

6. Free Tier and Discounts

The Hobby plan is currently 1,000 runs per month with no credit card required. We intend to keep a free tier available, though we may adjust the included usage from time to time. We may rate-limit, throttle, or terminate free-tier access if we suspect abuse.

Discount programs:

• Early-stage startups (under $5M raised): 50% off Pro for 12 months. Apply at startups@agentkit.dev.

• Open-source maintainers: free Pro. Apply at startups@agentkit.dev.

Eligibility and approval are at our discretion. Discount terms can change with 30 days' notice.

7. Cancellation

Cancel anytime from your dashboard. Monthly plans run to the end of the current billing period. Annual plans can be refunded pro-rata for unused full months, minus any applied discounts.

8. Your Content and Data

You retain all rights to content you submit ("Customer Data"). You grant us a limited license to process Customer Data solely to provide Agentkit. We don't use Customer Data to train our own models.

9. Our Intellectual Property

Agentkit, including software, design, documentation, and the Agentkit name and marks, belongs to AgentKit Inc. and is protected by intellectual property law. These Terms don't grant you any rights to our trademarks or branding.

10. Feedback

If you send us feedback or suggestions, we can use them without obligation to you.

11. Third-Party Services

Agentkit integrates with third-party tools, including model providers, databases, and platforms such as Stripe, Postgres, Slack, GitHub, and Discord. Your use of those services is governed by their own terms. We're not responsible for third-party outages, data handling, or content.

12. Beta Features

Features labeled "beta," "alpha," or "preview" are provided as-is, may break, and may be removed without notice. Don't run them in production without testing.

13. Termination

We may suspend or terminate your account if you breach these Terms, fail to pay, or use Agentkit in a way that risks our infrastructure or other users. You can terminate your account at any time.

On termination, your access ends and we delete Customer Data per the schedule in our DPA.

14. Disclaimers

Agentkit is provided "as is" and "as available." We don't warrant that it will be uninterrupted, error-free, or meet your specific requirements. We disclaim all implied warranties to the maximum extent permitted by law.

15. Limitation of Liability

To the maximum extent allowed by law, our total liability under these Terms is limited to the fees you paid us in the 12 months before the claim. We're not liable for indirect, incidental, consequential, or punitive damages, lost profits, or lost data.

Some jurisdictions don't allow these limits; in those jurisdictions, our liability is limited to the smallest amount permitted.

16. Indemnification

You agree to defend and indemnify AgentKit Inc. against claims arising from your breach of these Terms, your Customer Data, your use of Agentkit, or your violation of third-party rights.

17. Changes to These Terms

We may update these Terms. Material changes will be announced by email or in the dashboard at least 30 days before taking effect. Continued use after changes means you accept them.

18. Governing Law

These Terms are governed by the laws of Germany. Disputes will be resolved in the courts of Berlin, unless mandatory consumer protection law requires otherwise.

19. Miscellaneous

If any part of these Terms is unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver. You can't assign these Terms without our consent; we can assign them in connection with a merger, acquisition, or sale of assets.
